How to start a Portuguese company

  1. Prepare your documents

    Only two items are required:

    • a scan of your passport
    • your NIF (Portuguese tax number)
  2. Send the application

Filling in the online form takes about five minutes; the setup fee is paid right after submission.

  3. Sign the company statute

We prepare it and send it over — usually within 5 business days (an estimate, not a guaranteed deadline).

  4. Get the certificate

Once the registry completes the incorporation, you receive the company registration certificate.

Which company type fits you

Portugal recognises several company forms. These are the ones that matter when you are incorporating from abroad — the first three we handle end to end through the online application.

  • Available online

    Lda (Sociedade por Quotas)

Two or more partners · from €1 share capital

The standard Portuguese limited company, and the form most of our clients choose. Partners are liable only up to the capital they subscribe, and that capital can be as little as €1 per partner.

  • Available online

    Unipessoal Lda

A single owner · from €1 share capital

The same limited-liability structure with one owner, who can be a person or another company. Accounting, tax and reporting work exactly as they do for an Lda.

  • Available online

Sole trader (Empresário em Nome Individual)

One person · no share capital

The lightest option for freelancers and consultants. There is no company to form and no capital to deposit, but you answer for business debts with your personal assets.

  • By consultation

    S.A. (Sociedade Anónima)

From €50,000 capital · five shareholders

For larger operations and companies that plan to bring in investors or issue shares. It needs at least five shareholders — or one, if that shareholder is itself a company — plus a board and a statutory auditor, so we scope it on a call rather than through the form.

  • By consultation

    Branch (Sucursal)

An extension of a company you already own

Not a separate legal entity, but a registered Portuguese presence of a foreign company. It receives a Portuguese tax number and files locally, while liability stays with the parent.

Two ways to get a Portuguese company

Most people register from scratch. When a deadline is the binding constraint, taking over a company that already exists can be faster.

Register a new company

We reserve the name, draft the articles of association and file with the Commercial Registry. You choose the name, the activity codes and the shareholding, so the company is yours from the first line of the record.

  • Your choice of name and business activity
  • A clean history with no prior filings
  • Usually registered about a week after signing

Take over a ready-made company

A company that is already incorporated and has never traded, transferred into your name. Useful when a bank, a client contract or a tender needs a registration number sooner than a new incorporation could produce one.

  • A registration number you can quote immediately
  • Never traded, so no liabilities come with it
  • Name and activity codes can be changed afterwards

Why founders look at Madeira

Madeira is part of Portugal and part of the European Union. Companies trading internationally from the island can apply to its International Business Centre — a regime approved as EU state aid, which is what separates it from an offshore arrangement.

  • A 5% corporate rate

Companies licensed in the International Business Centre pay 5% corporate income tax on income from international activity. Income earned from Portuguese clients is taxed at the normal rate.

  • An EU company, not an offshore one

A Madeira company is a Portuguese company: an EU VAT number, access to the EU directives, and Portugal's network of around 80 double-taxation treaties. It banks and invoices like any other EU entity.

  • Dividends leave without withholding

Profits distributed to shareholders who are not resident in Portugal are generally exempt from Portuguese withholding tax, provided the shareholder is not in a blacklisted jurisdiction.

  • Lower duties on top

The regime also reduces stamp duty, property transfer tax and municipal property tax on the company's business activity, within the limits written into the licence.

  • Substance is the price of entry

The rate is tied to real activity on the island: broadly, one to five jobs created in the first six months together with €75,000 invested in fixed assets within two years, or six or more jobs with no investment requirement. A letterbox company does not qualify.

  • Everything else stays Portuguese

Accounting, filing deadlines and the commercial registry work exactly as they do on the mainland, so the compliance you take on is the compliance you already planned for.

Worth knowing: the International Business Centre operates under a European Commission state-aid approval with a fixed end date, and every licence is granted individually. Talk to us before you build a structure around it.

No bureaucracy

Incorporating a business is usually associated with stacks of paper and waiting rooms. It doesn’t have to be. Our clients have seen for themselves how quick and painless opening a Portuguese company can be when specialists take over the formalities — from the first document check to the moment the certificates arrive.

Why choose us

  • Fully remote, start to finish

Every step happens online, from wherever you are. Nothing in the process asks you to fly to Portugal or stand in a queue.

  • Lawyers, not a form builder

A legal team drafts the articles, checks your documents and files them. You are paying for the work, not for a template with your name in it.

  • Spain and Portugal under one roof

Company formation, NIE and NIF numbers, notarisations, apostilles and certified translations — the pieces that usually mean three providers come from one.

  • Reviewed in public

Clients rate the service on Trustpilot and the reviews stay up unedited. It is the least filtered picture of what this process is actually like.

  • One point of contact

You get a person rather than a ticket queue. Questions go to the same team handling your file, by email or on WhatsApp.

  • A price agreed up front

The fee is quoted before you commit, with government and registry costs listed separately, so the total does not move once the work has started.

Frequently asked questions

Which legal forms can I choose from?
Through our platform you can set up an LDA — the Portuguese limited liability company — or register as a freelancer (sole trader).
What does the incorporation process involve?
It starts with a conversation: our team checks whether your preferred company name is available. We then arrange Portuguese tax numbers (NIF) for everyone involved, draft the articles of association and the remaining legal paperwork, and file the company with the Portuguese Commercial Registry. After that we walk you through opening a business bank account, where the initial share capital is deposited. With those steps done, your company is officially registered and free to operate.
How does ownership of an LDA work?
The registration form asks you to define the shareholding structure — who owns the company and in what proportions. Up to 4 shareholders can be registered in a single company, and a single-owner setup (Unipessoal LDA) is available as well.
Are there age restrictions for shareholders?
Shareholders must be adults of legal age — 18 or older.
How do I open a bank account for the company?
Thanks to our partnership with Wise, opening a business account is a streamlined part of the service — no separate battle with the banks required.
When does the share capital need to be transferred?
The capital amount you declare during registration must land in the company’s bank account within one year of the company being opened.
What documents confirm the company’s formation?
You receive two documents: the RCBE (the beneficial-owner register record) and the Certidão Permanente (the permanent company registration certificate).
How quickly is the company statute sent for signing?
In most cases within 3 business days of the date you applied.
How long after signing is the company registered?
Registration is completed in about one week.
How is the statute signed?
After your application, documents and payment are received, we email you the statute. Print it out, sign it and send us the scan back.
